These Terms govern your use of the Tenderly app. By using Tenderly, you agree to them. Please read them alongside our Privacy Policy.

1. What Tenderly is

Tenderly lets you write letters and journal entries for the people you love, seal letters to be delivered on a future date, and share entries with your family. We act as a technology custodian — not a fiduciary, trustee, estate executor, or legal advisor. Letters you write are personal expression. They are not wills, testamentary documents, or binding contracts.

2. Sealed letters and delivery

When you seal a letter, its contents are encrypted on your device and scheduled for the delivery date you choose. Neither you nor NexaSphere can read a sealed letter before its delivery date. We make commercially reasonable efforts to deliver each sealed letter on schedule.

Already-sealed letters are honored even if you cancel. Once you seal a letter, we will make commercially reasonable efforts to deliver it on schedule for as long as Tenderly operates, regardless of whether you keep a paid subscription. Your subscription pays for sealing new letters, family features, and media — not for ransoming letters you have already written.

3. Our delivery commitment (not a perpetuity guarantee)

While Tenderly operates, we will make commercially reasonable efforts to deliver every letter you have sealed according to your instructions, regardless of subscription status. We do not and cannot promise that the service will operate forever. If we ever wind Tenderly down, we will provide reasonable advance notice, make your content available for export, and make reasonable efforts to deliver already-sealed letters before service ends. This is a commitment to reasonable efforts, not a guarantee of any specific result.

4. Subscriptions

Tenderly Premium is an auto-renewing subscription offered as a monthly plan and an annual plan. The free tier lets you seal one (1) letter; Premium unlocks unlimited sealed letters, media, and family features. Current prices are shown in the app on the subscription screen before you purchase.

• New subscribers may be offered a 7-day free trial on the annual plan.
• Payment is charged to your Apple Account at confirmation of purchase.
• The subscription automatically renews at the price shown at sign-up unless you cancel at least 24 hours before the end of the current period. If you do not cancel a free trial at least 24 hours before it ends, it converts to a paid subscription.
• You can manage or cancel your subscription any time in your Apple Account settings (Settings → your name → Subscriptions). Any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.

5. Your account and content

You are responsible for the content you create and for keeping your device and Apple Account secure. You agree not to use Tenderly to store or share content that is unlawful or that infringes others' rights. You may write about your own minor children on your authority as their parent or guardian; do not enter personal information about a child under 13 who is not your own.

6. Deleting your account

You can delete your account at any time from Settings → Delete Account. This immediately erases all data stored on your device and, when you are signed in, submits a request to delete your synced data from our servers. Account deletion is irreversible and cancels future deliveries of any letters in your account. Note the difference from cancellation: cancelling your subscription does notcancel already-sealed letters (see Section 2), but deleting your account removes all your content and therefore cancels any pending deliveries. If you want a sealed letter delivered, do not delete your account before its delivery date.

7. Family disputes and legal requests

Tenderly delivers letters according to the sender's instructions. We do not adjudicate family disputes and take no position on ownership of content under estate or community-property law. We follow your delivery instructions, subject to valid court orders. Because sealed letters are end-to-end encrypted, we cannot produce their contents in response to legal process; we can provide only non-content metadata.

Tenderly is a personal writing and keepsake app. It does not provide medical, mental health, legal, or financial advice. If you are in crisis, contact your local emergency number or the 988 Suicide & Crisis Lifeline.

9. Disclaimers and limitation of liability

Tenderly is provided “as is” and “as available,” without warranties of any kind, to the fullest extent permitted by law. To the fullest extent permitted by law, NexaSphere is not liable for indirect, incidental, special, or consequential damages, including emotional distress arising from content or delivery. Our total liability arising from the service is limited to the greater of (a) the amount you paid us in the twelve months before the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Dispute resolution and governing law

These Terms are governed by the laws of the State of Ohio, USA, without regard to its conflict-of-laws rules. Except for claims that qualify for small-claims court (which either party may bring individually), disputes will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You and NexaSphere waive the right to participate in a class action, except where such a waiver is unenforceable. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms; if you opt out, the state and federal courts located in Ohio have exclusive jurisdiction. For consumer claims, NexaSphere will pay arbitration filing and administrative fees to the extent required by the AAA Consumer Rules. Where arbitration does not apply, the state and federal courts located in Ohio have exclusive jurisdiction.

11. Eligibility and minors

You must be at least 13 years old to use Tenderly. Users under 13 are blocked during onboarding, and no account or data is created for them. If you are between 13 and 17, you may use Tenderly only with the knowledge and permission of a parent or legal guardian, and the app asks you to confirm that a parent or guardian has reviewed these Terms and our Privacy Policy and consents to your use.

12. Changes

We may update these Terms as the app evolves. Material changes will be reflected here with a new effective date. Continued use after changes means you accept them.

13. Apple and these Terms

These Terms are between you and NexaSphere only, not with Apple. Apple is not responsible for Tenderly or its content and has no obligation to provide maintenance or support for it. To the maximum extent permitted by law, Apple has no warranty obligation with respect to Tenderly, and any claims relating to the app are between you and NexaSphere. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
